Agreement
Pay Memo is owned and operated by KNH Advisers, PLLC ("Company," "we," "us," or "our"). By accessing or using Pay Memo (the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.
Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service.
Accounts and Access
You are responsible for your account credentials, all activity under your account, and keeping your account information accurate. Current plans are designed around one firm login or account owner, even if the workflow is used across multiple client matters within the purchased term.
Plans, Billing, and Purchased Term
Paid access may be sold as a recurring annual subscription or a fixed-duration engagement pass. Access is governed by the purchased term, not by a per-report or token model. Recurring subscriptions bill in advance until canceled and remain active through the end of the current paid term. Payments are generally final, although we may review refund requests on a case-by-case basis. See the Refund Policy for additional detail.
Permitted Use
You may use the Service for lawful business purposes. You may not misuse the Service, interfere with security or availability, attempt unauthorized access, reverse engineer the Service except where prohibited by law, or use automated methods to scrape or abuse the platform.
User Inputs and Exported Outputs
The Service relies on information you enter, workflow assumptions you select, and public-source wage data. You are responsible for reviewing memo drafts, exported PDFs, assumptions, citations, and final conclusions before relying on them in practice. Stored memo history and re-download features are provided as a convenience and may not be available for every historical export.
Public Data Sources and Modeling Limits
Wage and occupation information is derived from public sources, including BLS OEWS and related materials, and may include modeled or nowcasted values based on later economic inputs. This information is provided "as is" without warranty of accuracy, completeness, or fitness for a particular purpose. Pay Memo is not affiliated with or endorsed by BLS or the U.S. Department of Labor, and those agencies do not validate downstream calculations or documentation generated after retrieval from public data.
No Professional Advice
Pay Memo is a documentation and workflow tool. It does not provide tax, legal, HR, accounting, valuation, or other professional advice, and it does not guarantee that any output will satisfy a regulator, auditor, court, client, or reviewer without additional professional judgment.
Service Changes and Availability
We may change, improve, suspend, or discontinue parts of the Service at any time. We do not guarantee uninterrupted availability, permanent retention of every workflow artifact, or ongoing support for every feature in its current form.
Termination
We may suspend or terminate access to the Service if you violate these Terms, misuse the platform, or create risk to the Service or other users.
Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.
Limitation of Liability
To the maximum extent permitted by law, the Company will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost business, or loss of goodwill arising out of or related to the Service.
Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms and revise the "Last updated" date above. Continued use of the Service after changes become effective means you accept the updated Terms.
